Bylaws: Macomb Area Bicycling Club

Article I - Declaration

The name of this organization shall be the Macomb Area Bicycling Club (MABC) hereinafter referred to as "The Club"

Article II - Purposes

The purposes of The Club shall be:

    1. to promote safe, responsible and enjoyable bicycle riding in and around West Central Illinois
    2. to share information on bicycle safety, responsibility, maintenance, and equipment
    3. to promote the positive image of bicyclists in the community through example and public service
    4. to improve bicycling conditions in general

Article III - Memberships & Affiliations

Section 1 - Bounds

Membership and/or Affiliation is open to all individuals and organizations who support or have interest in the Purposes of The Club

Section 2 - Types

The types of membership and associated annual dues are:

    1. Individual - for Adults, 18 years and older - $10 per year
    2. Family - for two or more individuals in the same household, may include individuals younger than 18 years - $15 per year

The types of affiliations available are:

    1. group affiliation - for businesses, other clubs, organizations, etc. - $20 per year

Section 3 - Minors

The signed permission of a parent or guardian is necessary for all members under the age of eighteen

Article IV - Officers & Board of Directors

Section 1 - Officers

The officers of the club shall consist of a President, Vice President, Secretary and Treasurer. The Board of Directors shall consist of the above officers and chairpersons of committees created by the Board of Directors. All officers must be members in good standing (i.e. dues paid in full). No member may hold more that one elected office at a time.

Section 2 - Elections

The officers shall be elected from the membership at the annual meeting of all members held in the last month of the fiscal year. All officer terms are for 1 year and coincide with the fiscal year. Officers elected at the annual meeting will assume their duties at the beginning of the fiscal year.

Section 3 - Vacancies

Should the office of president become vacant, the Vice-President shall assume the Presidential office. Should any other office become vacant, the Board of Directors shall appoint an acting officer to fill the vacancy for the remainder of the term. Should all officer positions be vacant, the membership may hold a meeting to elect officers to serve the remaining terms.

 

Section 4 - Responsibilities and Authority

The duties and powers of the officers shall be as follows:

President

    1. Shall preside at all meetings
    2. Shall be the Executive officer of the club
    3. Shall be a member ex-officio of all committees
    4. Shall have authority to execute legal documents on behalf of The Club

Vice President

    1. Shall assume the President’s duties and power in the absence of the President
    2. Shall have authority to execute legal documents on behalf of The Club

Secretary

    1. Shall keep record minutes of all Board and membership meetings
    2. Shall conduct all official club correspondence
    3. Shall issue notices of club activities
    4. May publish a club newsletter
    5. Shall have authority to execute legal documents on behalf of The Club

Treasurer

    1. Shall be the custodian of the funds of The Club
    2. Shall be responsible for full and accurate accounting records
    3. Shall present the board an annual year-end report of club finances
    4. Shall maintain an up-to-date list of the membership
    5. Shall have authority to execute legal documents on behalf of The Club

Each officer shall transfer all documents, data and information pertaining to their position to their successor upon termination of their office.

Section 5 - Removal from Office

Any officer may be removed from office at any regular meeting of The Club by an affirmative vote of two-thirds (2/3) of the Club members present in person.

Article V - Meetings

Section 1 - Meetings

The Board of Directors shall schedule, announce and hold an annual club meeting in the last month of the fiscal year. Additional club meetings to consider any pertinent matter may be called by the Board of Directors or when petitioned by at least 5% of the membership or 10 members - whichever is less. All meetings must be announced at least 24 hours in advance of the meeting.

Section 2 - Quorum

At any meeting of the membership, the presence, in person, or by proxy of either 25% of the members or 20 members whichever is less, shall constitute a quorum.

Article VI - Fiscal Policies

The fiscal year of The Club shall commence on the first day of April hall end on the last day of May the following calendar year.

Article VII - Dissolution

The Club may be dissolved at any regular meeting of The Club by an affirmative vote of three-fourths (3/4) of The Club members present in person. In the event of dissolution of The Club, the Board shall determine distribution of its assets to such charitable and educational organizations in the community, which are tax-exempt from federal income tax, or a successor organization with the similar purposes and objectives.

Article VIII - Amendments

These bylaws may be amended in any respect at any regular meeting of The Club by an affirmative vote of two-thirds (2/3) of The Club members present in person. No proposed amendment shall be acted upon at any meeting unless it has been presented to the members of The Club at least 15 days prior to that meeting.
